Overview

Gary L. Schoenbrun is a partner in Holland & Knight's Stamford and New York offices. He focuses his practice on a broad range of disciplines, including tax matters, investment partnerships, joint ventures and executive compensation.

Mr. Schoenbrun counsels clients involved in both taxable and tax-free mergers, acquisitions and financings as well as all aspects of partnership taxation. He also handles the full range of tax issues involved in stock and asset acquisitions as well as in venture capital and private equity financing transactions. In this capacity, Mr. Schoenbrun has represented numerous public and private companies, private equity, venture capital, and real estate funds and other investors.

Mr. Schoenbrun's vast experience also includes representing key executives and high-ranking officers from public and private companies, investment bankers and fund operators. From structuring and negotiating compensation arrangements to drafting and advising on employment agreements, option agreements and plans, as well as deferred compensation and bonus plans, separation agreements and change of control agreements, Mr. Schoenbrun is highly experienced in handling both the tax and non-tax aspects of these matters. He also has an extensive background in structuring and drafting complex partnership tax allocation and distribution provisions and employee profits interest arrangements.

In addition to his legal work, Mr. Schoenbrun had published numerous articles in the Journal of Partnership Taxation.
