Overview
Jonathan W. Riley is a financial transactions attorney in Holland & Knight's Dallas and Chicago offices, and a member of the firm's Financial Services Team.
Mr. Riley represents many of the nation's largest financial institutions and business capital companies in the structuring, negotiation and documentation of complex credit transactions. Additionally, he frequently advises corporate borrowers and private equity portfolio companies across a wide range of industries in connection with such transactions.
As part of his practice, Mr. Riley provides counsel on secured and unsecured credit facilities, including bilateral and syndicated transactions, leveraged acquisitions and unitranche transactions. In particular, he has extensive experience documenting complex structured finance, fund finance and asset-based lending transactions.
In addition, Mr. Riley advises senior lenders and subordinated lenders in complex intercreditor arrangements and agreements among lenders. He has substantial experience with mezzanine loans, refinancings, debt restructuring and workout matters.
Representative Experience
- Represented as borrower's counsel a bank with $50 billion in assets in its efforts to grow its commercial lending franchise while helping a major national insurance firm expand its alternative investment portfolio through a $135 million senior secured revolving credit facility that included a $265 million accordion feature
- Represented a major national bank in structuring a new $175 million letter of credit facility on terms outside of its customary banking practices
- Represented a major national bank in a $78 million senior secured revolving credit and term loan facility that included "unitranche" financing with a "first-out"/"last-out" structure
- Represented a national commercial bank as lender-agent in a $50 million senior secured revolving credit facility; this matter was among the first of two real property tax-lien financings Holland & Knight structured and documented for this long-term client
