Overview

Nicholas Brunero is an attorney in Holland & Knight's New York office, where he handles various corporate matters for businesses and individuals, and also provides outside general counsel services for companies. Mr. Brunero has extensive experience delivering practical business solutions to complex legal issues for public and private companies.

Mr. Brunero represents financial institutions, emerging growth companies, private equity firms and other clients in connection with mergers and acquisitions (M&A), venture capital investments, commercial litigations and disputes, as well as general commercial transactions. He handles a broad range of matters, including public and private financings, cross-border joint ventures and M&A, restructurings and turnarounds, corporate governance and compliance, public company board matters, employment matters and intellectual property. Mr. Brunero represents clients in a wide range of industries, including technology, consumer products, manufacturing, real estate and financial services.

Prior to joining Holland & Knight, Mr. Brunero served as chief legal counsel of Cella Energy, an early stage technology company located in the United Kingdom, and acted as general counsel for Emerging Power Inc., a manufacturing and distribution company. Previously, Mr. Brunero was president and general counsel of Ener1 Inc., a technology company formerly listed on Nasdaq

Mr. Brunero began his career in the litigation department of a boutique law firm, where his practice primarily focused on representing large financial institutions in commercial litigations, Financial Industry Regulatory Authority (FINRA) arbitrations, and U.S. Securities and Exchange Commission (SEC) and FINRA investigations.

  • Represented a leading global owner and operator of one of the world's largest oil tanker fleets in its acquisition of a commercial tanker management company
  • Represented Future Plc (LSE: FUTR) in its separate acquisitions of CinemaBlend, Marie Claire US, Gardening Know How, Who What Wear and ActualTech Media
  • Represented Bancorp of New Jersey Inc. (NYSEAM: BKJ) in its merger with ConnectOne Bancorp Inc. (Nasdaq: CNOB)
  • Represented Dime Community Bancshares Inc. (Nasdaq: DCOM) in its merger with Bridge Bancorp Inc. (Nasdaq: BDGE)
  • Represented Elpha Secure Technology Inc. in its $20 million Series A capital raise
  • Represented a private equity fund in various acquisitions and corporate restructurings with respect to its battery and cell manufacturing portfolio companies
  • Represented various automotive companies and Tier 1 suppliers in various commercial and strategic transactions
