Overview

Stephen Ratliff is a partner in Holland & Knight's Dallas office and practices in the area of Financial Services. He advises clients in the commercial finance industry, including banks, hedge funds and financial institutions, business capital companies and private funds.

Mr. Ratliff regularly works on transactional financing issues, such as real estate financing; resort financing; rediscount lending; asset-based and cash flow lending; subordinated debt and mezzanine financings; bulk financial asset acquisitions and other forms of debt and equity financing. In addition, he is experienced in domestic and foreign timeshare and fractional market financing, including acquisition and development, construction, receivable and inventory financing.

Mr. Ratliff also has an extensive practice advising clients on restructurings, workouts, bankruptcy matters and other issues relating to distressed debt. These matters include loan sales; real property foreclosures; deed-in-lieu transactions; public auction and strict foreclosure transactions under Article 9 of the Uniform Commercial Code; 363 asset sales and debtor-in-possession financing; and the disposition of assets (including foreign and domestic REO assets) acquired pursuant to foreclosure sales, deed-in-lieu arrangements and 363 asset sales.
