Florida’s New Revised LLC Act, Part II

The Florida Revised Limited Liability Company Act (the "New LLC Act") changes provisions dealing with management structures, voting rights, fiduciary duties, conflicts of interest, recordkeeping and inspection rights, transfers and charging orders. These are default provisions that may be subject to an override or can be supplemented by the terms in the operating agreement of the LLC.
