Overview

Katherine Baker is an attorney in Holland & Knight's Boston office, where she serves as the leader of the National Gaming Team. Ms. Baker focuses her practice on gaming regulatory and litigation matters, and she helps casino gaming, iGaming, sports betting, fantasy sports, sweepstakes and emerging format operators, vendors and entrepreneurs navigate state and federal, commercial and Tribal gaming issues, including the use of financial technology (FinTech) solutions.

Ms. Baker advises gaming clients on regulatory compliance and licensing and legislative strategy, provides legal opinions in support of operations, and serves as gaming regulatory counsel for corporate transactions. She also represents clients in complex litigation matters in state and federal court, primarily in gaming-related disputes.

In addition, Ms. Baker has experience in all aspects of the Massachusetts initiative petition process, from drafting to campaign finance compliance to constitutional challenges before the Massachusetts Supreme Judicial Court. Her regulatory background extends to drafting legislation and representing clients before state agencies, including the Massachusetts State Ethics Commission and Massachusetts Office of Political and Campaign Finance, as well as interpreting statutes and regulations related to gaming, education, conflicts of interest and campaign finance.

Prior to joining Holland & Knight, Ms. Baker was a partner in the Boston office of a full-service AmLaw 100 firm, where she was chair of the Gaming Industry Group.

Representative Experience

  • Served as principal outside gaming counsel to a national casino-entertainment company for Massachusetts and federal public policy matters
  • Represented a leading daily fantasy sports operator in multijurisdictional gaming litigation and secured dismissal of all claims
  • Guided an online gaming operator startup from game development to launch and market expansion
  • Drafted reasoned legal opinions for a variety of online gaming operators to allow for a multijurisdictional operation of games
  • Advised on gaming regulatory considerations for a cross-border operation of prediction market platforms
  • Led the nationwide gaming vendor licensing process for a payment processor
  • Assisted a Tribal casino with compact negotiations and legislative efforts to offer sports wagering
  • Served as lead gaming regulatory attorney on a multibillion-dollar deal, representing a foreign gaming client in the acquisition of a division of its global gaming company based in the U.S.

  • Represented clients in all aspects of the Massachusetts ballot initiative process, including drafting, certification with the attorney general, campaign finance compliance for initiative campaigns, coordination with public relations teams and signature-gathering firms, and briefing and oral argument of constitutional court challenges to the Massachusetts Supreme Judicial Court under Article 48
  • Represented public employees before the Massachusetts Ethics Commission and provided counseling to avoid conflicts of interest
  • Represented clients in investigations of campaign finance violations by the Massachusetts Office of Campaign and Public Finance

  • Represented employers in litigation involving claims of employment discrimination, theft of trade secret and violation of restrictive covenant disputes

  • Defended colleges and universities against breach of contract, tort and discrimination (including under Title IX) and other claims in state and federal courts
  • Negotiated employment and separation agreements on behalf of university presidents
