Overview

Matthew Catron is a litigation attorney in Holland & Knight's Philadelphia office and a member of the firm's Litigation and Dispute Resolution Practice. Mr. Catron's practice focuses on complex business disputes involving corporate governance, mergers and acquisitions (M&A) transactions, fiduciary duties, shareholder demands, alternative entities and breach of contract. His cases often contain issues of Delaware law or disputes before the Delaware courts.

Mr. Catron also has experience in matters with substantial issues of insolvency. He represents clients seeking court-appointed receivers and advises on unique issues arising out of bankruptcy.

Prior to joining Holland & Knight, Mr. Catron was an associate at prominent law firms in Pennsylvania and Delaware. He represented clients in a variety of industries, including financial services, pharmaceuticals, real estate, oil and gas, construction and technology. He also gained valuable experience as a law clerk for the Honorable Rebecca Jennings of the U.S. District Court for the Western District of Kentucky.

While in law school, Mr. Catron served as the lead notes editor for the William & Mary Law Review and graduated with a concentration in business law.

Representative Experience

  • Achieved court appointment of a special-purpose receiver to investigate and report on a multibillion-dollar investment scheme that had misappropriated client funds
  • Successfully defended post-judgment collection proceedings where third-party accounts were wrongfully attached
  • Achieved dismissal of an expedited anti-suit injunction before the Delaware Court of Chancery
  • Successfully represented a global engineering company in resolving all claims that arose from the breach of a multimillion-dollar purchase agreement

  • Represented the former officers and directors of an engineering firm in the Delaware Court of Chancery in post-closing representations and warranties actions following the company's acquisition
  • Achieved a favorable resolution in an earnout dispute for the founder and chief executive officer of an aerospace defense manufacturer following the company's sale
  • Successfully defended officers and directors in a control dispute following their acquisition of an offshore drilling company through an insolvency proceeding

  • Defended a Bitcoin mining company in a fee action pursuant to Sections 204 and 205 of the Delaware General Corporation Law (DGCL) for defective corporate acts before the Delaware Court of Chancery
  • Defeated a motion for a status quo order pursuant to Delaware LLC Act Section 18-110 seeking reinstatement of an LLC manager in the Delaware Court of Chancery
  • Represented a media company and resolved a Section 220 "books and records" demand arising out of a post-merger dispute between shareholders
  • Advised Delaware companies concerning the creation of special purpose entities and limiting risk through the Delaware LLC Act for high-risk infrastructure projects

  • Achieved emergency appointment of a receiver to manage commercial properties for secured lenders in multiple actions
  • Represented a real estate developer in a post-closing dispute concerning the sale and zoning classification of commercial property
  • Represented the largest creditor in the single asset real estate bankruptcy and subsequent sale of a $150 million hotel
