Overview

Bianca M. Poehailos is a business attorney in Holland & Knight's Stamford office and a member of the firm's Corporate Services Team. Ms. Poehailos focuses her practice on representing public and private companies as well as private equity funds and their portfolio companies in mergers, acquisitions and dispositions, financings and other commercial transactions. She also represents clients in a wide variety of corporate governance and general corporate matters.

Prior to joining Holland & Knight, Ms. Poehailos was a summer associate in the firm's Stamford office. She also worked as a legal intern in the legal department of a public company.

While in law school, Ms. Poehailos served as a member of the Connecticut Law Review, Negotiation and Dispute Resolution Society, and Women Law Students' Association (WLSA). She also participated in the school's Intellectual Property and Entrepreneurship Law Clinic, where she guided clients through various copyright and trademark issues.

Ms. Poehailos' representative matters include:

  • Representation of Hubbell Inc. (NYSE: HUBB) in its acquisition of DMC Power LLC
  • Representation of a food company and subsidiary of a private equity fund in its acquisition of a canned pasta brand from a publicly traded food conglomerate
  • Representation of a private equity firm in its sale of a beverage company to a multinational diversified business group
  • Representation of Otis Worldwide Corp. (NYSE: OTIS) in its acquisition of eight locations from Urban Elevator Service LLC
  • Representation of Hubbell Inc. (NYSE: HUBB) in its acquisition of Ventev from Tessco Technologies Incorporated
  • Representation of Heartwood Partners, a private equity firm, in its acquisition of Portable Solutions Group, a manufacturer of modular access control security solutions
  • Representation of AQUALIS, a private equity-backed client, in the acquisition of substantially all the assets of Storm Water Compliance Solutions LLC, an industry leader in stormwater management
  • Representation of a global home healthcare agency in its review of non-disclosure agreements and other corporate matters
  • Representation of a private equity-backed insurance brokerage client as a buyer in multiple platform and bolt-on acquisitions
  • Represented a private equity-backed clinical stage biopharmaceutical company focused on ocular drug development in its sale to a publicly traded ophthalmic pharmaceutical and medical technology company focused on developing and commercializing novel therapies for rare ophthalmic diseases
