New York LLC Transparency Act: What You Need to Know

Holland & Knight hosted a webinar discussion on the filing requirements of the New York Limited Liability Company Transparency Act (NY LLCTA) that took effect January 1, 2026. Modeled on the federal Corporate Transparency Act (CTA), the NY LLCTA obligates covered entities to submit benefit ownership reports or exemption attestations to the New York Department of State. During this presentation, speakers broke down these requirements, from how to determine what organizations have to file reports and to how to assess exemption status to what information needs to be disclosed to state authorities. They also outlined concerns around privacy and penalties for noncompliance, as well as provided a helpful chart comparing the CTA and NY LLCTA.
