A Look at Florida's New Protected Series LLC Legislation
Corporate attorney Louis Conti published an article in Law360 analyzing a new law in Florida that adds protected series limited liability company (LLC) provisions to the state's Revised Limited Liability Company Act. The legislation establishes rules that allow both existing and newly formed LLCs to form protected series, plus creates a path for foreign series LLCs doing business in the state – all of which enhances the flexibility of Florida LLCs and cements their reputation as the entity of choice for most privately held businesses. The law takes effect July 1, 2026, to give the Florida Department of State time to input new forms and filing procedures into its software.
