Overview
Mr. Agnihotri is an energy tax attorney in Holland & Knight's Washington, D.C., office. Mr. Agnihotri focuses on helping developers, sponsors, investors and financing parties navigate the U.S. federal income tax considerations that drive renewable and clean energy transactions, including solar, wind, battery storage, renewable fuels, hydrogen and other clean fuel strategies, carbon capture and advanced manufacturing.
Mr. Agnihotri advises clients across the life cycle of clean energy projects – from development through financing, acquisition and operations – with an emphasis on monetizing tax credits and incentives. He supports both buy-side and sell-side participants in tax credit transactions and broader investment structures, and he regularly assists with structuring and documenting credit-focused financings, including tax equity and debt arrangements, as well as project and platform acquisitions.
Mr. Agnihotri's experience includes drafting and negotiating tax provisions and credit-risk allocation terms in renewable energy development and project finance documentation, including joint ventures and key project agreements that impact tax credit qualification, compliance and monetization. He also assists with tax diligence and counseling on credit eligibility and compliance considerations that can impact economics, timing and marketability, and he helps clients anticipate and address evolving legislative and administrative developments affecting clean energy incentives.
In addition to energy tax, Mr. Agnihotri has advised clients on a broad range of domestic and cross-border tax matters, including structuring international supply chain, as well as optimizing tax outcomes for both taxable and tax-free transactions. He has drafted and negotiated tax provisions in merger and acquisition (M&A) agreements, debt and capital markets documentation, and supported tax diligence across a variety of transactions. Mr. Agnihotri has also assisted with tax opinion work on substantive and procedural issues while supporting clients in tax controversy matters at both the administrative and litigation stages, including matters involving international reporting, Subpart F and transfer pricing valuation.
Prior to joining Holland & Knight, Mr. Agnihotri worked as an associate in the Ohio office of a national law firm.
