Overview
Jorge Ballen is an attorney in Holland & Knight's New York office and a member of the Financial Services Team. Mr. Ballen's practice focuses on representing public and private companies, as well as financial institutions, in cross-border capital markets, private equity and financing transactions, particularly those involving Latin American projects or parties.
In addition, Mr. Ballen has represented debtors and creditors in various financing structures for projects in Latin America, including securities offerings and project bonds, commercial bank debt, Section 4(a)(2) private placements and other financing combinations. Mr. Ballen also has experience in the infrastructure, oil and gas, and energy sectors.
Prior to joining Holland & Knight, Mr. Ballen was an attorney at another international law firm in New York and also previously practiced in Colombia.
Representative Experience:
- Represented Fibra UNO, the first and largest Mexican real estate investment trust in Latin America, in connection with a US$1.58 billion bond exchange for new notes issued by its industrial property arm, NEXT Properties
- Represented Fibra UNO in connection with a US$800 million dual-tranche senior sustainability-linked notes offering
- Represented IDB Invest in connection with a US$53.4 million loan to Almacenes del Norte for logistics park development in Peru
- Represented IDB Invest in a series of cross-border financings, capital markets transactions and financial institution facilities across Latin America, including sustainable bond issuances, A/B loan structures and mobilized financings
- Represented lenders and noteholders in connection with Interceramic's US$640 million multi-tranche refinancing, including private placement notes, senior secured term loan and subordinated debt
- Represented joint lead arrangers in connection with a US$137 million cross-border syndicated loan to Banco Consorcio, a Chilean financial institution
- Represented the administrative agent in connection with a US$100 million cross-border syndicated loan to Banco Consorcio, a Chilean financial institution
- Represented IDB Invest in connection with a US$68 million A/B loan financing for the Millennium-Med Hospital, a high-complexity medical complex in Guayaquil, Ecuador
- Represented IDB Invest in connection with a US$70 million loan facility to Banco Davivienda Salvadoreño S.A. for small and medium enterprises (SME) and green financing initiatives in El Salvador
- Represented IDB Invest as anchor investor in connection with a US$75 million sustainable bond issuance by Banistmo S.A., one of Panama's leading financial institutions
- Represented IDB Invest in connection with a US$80 million financing package and US$45 million mobilization for Banco Múltiple Promerica de la República Dominicana S.A. for SME lending and sustainability projects
- Represented IDB Invest in connection with a US$20 million subordinated bond subscription in Banco Interamericano de Finanzas (BanBif) in Peru
- Represented IDB Invest in connection with a US$15 million senior loan to Finabank N.V. for SME lending and financial inclusion in Suriname
- Represented IDB Invest in connection with an US$80 million A/B loan to Latin American Agribusiness Development (LAAD) Corp. for agribusiness financing across Latin America and the Caribbean
