Overview
D'Andre Chapman is a litigation and dispute resolution attorney in Holland & Knight's New York office. Mr. Chapman represents clients in complex, high-stakes disputes across a diverse range of practice areas, including real estate and capital markets, sports and entertainment, securities and corporate litigation, real estate finance, financial services, and labor, employment and benefits matters. He has particular experience handling litigation and loan servicing matters involving commercial mortgage-backed securities (CMBS).
Mr. Chapman is a staunch advocate for his clients and is dedicated to understanding the particular nature of each dispute, as well as each client's objectives and risk tolerance, to develop legal strategies that align with their goals.
Real Estate and Capital Markets
With respect to CMBS, Mr. Chapman represents nationally prominent financial institutions, mortgage servicers, hedge funds and distressed investors in connection with non-performing loans and the exercise of remedies such as judicial foreclosures, receiverships, replevin, workouts, litigation and resulting judgment enforcement and collection.
Sports and Entertainment
Mr. Chapman has represented clients in a wide array of sports and media litigation matters, including business entities affiliated with prominent professional athletes and media companies, as well as in disputes involving disclosure obligations, breach of contract claims and complex commercial disputes.
Securities and Corporate Litigation
In practicing securities and corporate litigation, Mr. Chapman focuses on providing clients – including Fortune 500 companies, corporate boards, directors and senior executives – with advice as to corporate control contests, derivative litigations, proxy fights, shareholder activism, securities laws, internal investigations and corporate governance matters.
Maritime
In his maritime practice, Mr. Chapman represents a broad range of clients, including shippers and consignees, in connection with supply chain, logistical and infrastructure-related challenges.
Pro Bono
Just as pro bono work is an integral part of Holland & Knight, it is also a significant part of Mr. Chapman's practice. He regularly represents children who have been abused, abandoned and/or neglected through a nonprofit organization that provides durable solutions to child migration, ensures children's protection and upholds their right to due process and fundamental fairness. In addition, Mr. Chapman maintains an active pro bono asylum practice, having represented multiple clients in seeking asylum before the U.S. Citizenship and Immigration Services.
During law school, Mr. Chapman won the coveted New York City Bar Association's diversity fellowship and served as a legal intern for a Fortune 100 company that focused on retirement plans and asset management. In addition, Mr. Chapman was a member of the Hofstra Labor and Employment Law Journal.
Representative Experience
- Advised a business entity affiliated with a prominent NBA athlete on compliance with disclosure obligations arising in connection with a litigation-related matter
- Advised a prominent media company in navigating a pre-litigation demand seeking substantial monetary relief, including assessing potential exposure, litigation risk, available defenses and strategic response options
- Representing clients, including a multinational electronics and information technology company, in assessing alleged violations of the U.S. Shipping Act and the recently enacted Ocean Shipping Reform Act, including matters before the Federal Maritime Commission (FMC)
- Counsel to one of the world's largest oil and gas producers in the $300 million sale of one of its oil and gas refineries
- Advised the audit committee of a publicly traded, billion-dollar recreation products company in an internal investigation of its board of directors and management team
- Defended a lender against a plaintiff's preliminary injunction and motion to stay its purchase option deadline in connection with the foreclosure of a $13 million dollar loan
- Advise the board members of a publicly traded financial institution in connection with a proxy battle
- Provided counsel to a former board chairman in a defamation action against a publicly traded financial institution
- Provided counsel to a prominent financial institution as to compliance with national consumer- and commercial-related rules
