Overview

Meredith P. Clarke is a corporate and mergers and acquisitions (M&A) attorney in Holland & Knight's Orlando office with a focus on middle-market transactions. Ms. Clarke partners with companies, boards of directors and investors to navigate the transactions and governance decisions that shape their futures. She takes time to understand each client's goals, competitive pressures and operational realities – ensuring her legal strategies are not only sound but actionable.

Ms. Clarke represents buyers and sellers in transactions ranging from multibillion-dollar divestitures to complex platform acquisitions and national roll-up strategies. She handles strategic M&A for private and public companies, as well as acquisitions on behalf of private equity firms and independent sponsors. Ms. Clarke's balanced mix of buy-side and sell-side experience across diverse deal structures gives her a perspective that spans the full life cycle of corporate growth. From asset acquisitions and stock purchases to joint ventures, recapitalizations and complex carve-outs, she brings a depth of experience that allows her to anticipate challenges, identify opportunities and structure deals that advance her clients' strategic objectives.

  • Represented a sponsor-backed national specialty insurance brokerage and risk management and consulting firm in numerous add-on acquisitions of independent insurance agencies across the U.S. serving commercial and personal insurance clients
  • Represented a leading specialty insurance program administrator in multiple strategic acquisitions, including the acquisition of a premier provider of collector car insurance from one of the world's top 10 insurance brokerages and the acquisition of a leading pet insurance program administrator
  • Represented multiple principals in the strategic sale of their insurance books of business to various national brokerage and consulting firms, including advising on separation and transition matters from their prior firms and negotiating complex purchase, earnout and post-employment arrangements

  • Represented a radiology practice in its $144 million sale to portfolio companies of a healthcare-focused private equity firm
