Overview

Adam Jachimowski is a financial services attorney in Holland & Knight's New York office. Mr. Jachimowski represents financial institutions and investment funds serving as trustees, collateral agents, depositaries and escrow agents in a broad range of financing and restructuring transactions.

Mr. Jachimowski works with his clients, ranging from the largest financial institutions to smaller trust providers, on their day-to-day transactions to build and develop their businesses. His transactions include multibillion-dollar note issuances, municipal bond offerings, complex refinancing and restructuring transactions, and bankruptcy proceedings.

In addition, Mr. Jachimowski advises on various sophisticated secured and unsecured debt offerings, as well as on syndicated loans and project finance matters.

Prior to joining Holland & Knight, Mr. Jachimowski was a partner at an international law firm.

Representative Experience

  • Represented a financial institution acting as trustee in connection with the issuance of $8 billion notes, 750 million euros notes and 700 million British pounds notes by a U.S.-based drugstore chain
  • Represented a financial institution acting as trustee and paying agent in connection with several municipal bond offerings for various projects such as municipalities, bridge authorities, universities and public facilities, including public aquariums and zoos
  • Represented a financial institution acting as trustee and collateral agent in connection with the issuance by a Canadian salt manufacturer of $220 million of its senior secured notes
  • Represented a financial institution acting as trustee and collateral agent in connection with various secured bond offerings by a telecommunications company and subsequently acted as litigation counsel in connection with disputes arising between the company and investors
  • Represented a financial institution acting as trustee in connection with the issuance of $1 billion of the guaranteed notes by one of the largest coal producers in China
  • Represented a financial institution acting as collateral agent in connection with the $1.4 billion refinancing of a major automaker's term and revolving credit facilities and issuance of $3.2 billion of notes by the company in connection with the prior bailout by the U.S. government

  • Represented a financial institution acting as administrative agent and collateral agent in connection with a $70 million term loan to a coal mining company
  • Represented a financial institution acting as administrative agent and collateral agent under a $150 million revolving credit facility and as collateral agent in connection with the offering of $800 million of senior secured notes for a casino and resort
  • Represented a financial institution acting as collateral agent and depositary agent in connection with a series of project finance transactions for a clean technology energy producer
  • Represented a financial institution acting as administrative agent and collateral agent in connection with an initial $20 million term loan to the manufacturer of high-performance materials and subsequent transactions

  • Representation of a registered investment advisor acting as collateral manager, auction agent and liquidation agent in connection with various collateralized debt obligation transactions with an aggregate principal balance in excess of $10 billion
  • Representation of trustees in connection with various securitizations, including auto loans and private student loan programs
  • Representation of a financial institution acting as fiscal and paying agents in several international commercial paper and certificate of deposit programs

  • Represented a financial institution acting as collateral agent and trustee in the largest bank-backed debtor-in-possession financing in history
  • Represented a film distribution company in connection with the foreclosure and ultimate public sale of a catalog of classic and independent films
  • Represented a hedge fund in the purchase of the assets of a publicly held manufacturing company in a Section 363 bankruptcy sale and the subsequent restructuring of the assumed debt
  • Represented a financial institution acting as trustee and agent in connection with various transactions relating to the Lehman Brothers Holdings bankruptcy case and related proceedings
  • Represented the U.S. and Mexican units of a financial institution acting as trustee and collateral agent in connection with a Mexican bankruptcy proceeding and restructuring of the Mexican issuer's senior secured notes
