Overview
Kadiata Sy is a financial services attorney in Holland & Knight's Atlanta office. Ms. Sy represents financial institutions, private equity firms, and public and private companies in a broad range of financing transactions, including cash flow, acquisition and asset-based financings, as well as bond issuances.
Ms. Sy advises lenders and borrowers throughout the financing process, helping clients navigate complex transactions involving acquisitions, refinancings, growth capital and other business needs. She has a significant background in structured finance and asset-based lending, including matters involving consumer loans, receivables and other financial assets.
Prior to joining Holland & Knight, Ms. Sy practiced at leading international law firms in New York and Atlanta, where she represented lenders and borrowers in a variety of complex financing transactions.
Representative Experience
- Represented a company as borrower of an $800 million revolving credit facility and $1.2 billion term loan facility, with proceeds used to refinance existing debt and finance a portion of the purchase price for an acquisition
- Represented a leading U.S. investment bank as administrative agent in the refinancing and repricing of $4.6 billion in existing Term B loans for a global water treatment company, with proceeds used to prepay existing debt and partially cover transaction expenses
- Represented a leading international bank as lead arranger and administrative agent on a $1.2 billion unsecured investment grade revolving credit facility
- Represented an administrative agent in connection with a $750 million first-lien secured term loan facility, a $300 million second-lien secured term loan facility and a $100 million revolving credit facility to finance the acquisition of a leading provider of managed physical medicine services
- Represented lead arrangers and an administrative agent in connection with a $2.25 billion senior secured financing for an international luggage manufacturer company, consisting of an $850 million revolving credit facility and an $800 million Term Loan A facility
- Represented lead arrangers in connection with a $600 million revolving credit facility for a financial services technology solutions company
- Represented a borrower in the restaurant franchise industry in a $115 million syndicated financing agented and arranged by a global corporate bank
- Represented a borrower in the novel restructuring of its existing debt facilities with two private credit lenders
- Represented an agent and lender in a $60 million financing for a borrower in the energy drink industry
- Represented an agent and lender in a $45 million financing for a Colombia-based borrower in the software industry
- Represented an agent and lender in a $65 million financing for a borrower in the waste management industry
- Represented a lender on a new debt financing facility for a residential solar provider to support future asset growth and fuel nationwide expansion
- Represented an issuer in connection with public issuance of bonds for a sports stadium
- Represented an issuer in connection with securitizations and warehouse facilities of consumer loans
- Represented an issuer in connection with the securitization of receivables from equipment lease, loan agreements and contracts for the delivery of goods and services, as well as conduit facilities used to finance such receivables
- Represented a computer company as sponsor in a Rule 144A/Regulation S private placement of notes secured by a pool of receivables
- Represented underwriters and lenders in connection with consumer loan securitizations and warehouse facilities for a consumer finance company
- Represented a financial institution in connection with various revolving collateralized loan obligation (CLO) transactions involving senior and junior variable funding note (VFN) tranches and mezzanine funded tranches
