Bill Womble represents clients in corporate, securities regulation, partnership and commercial transactions. He has significant experience in mergers, acquisitions, combinations of business entities, and related transactions. Representative client industries include healthcare, manufacturing, computer technology, satellite communications and financial services.

Mr. Womble focuses his practice on business and business-related issues, including business planning, formation, and restructuring of for-profit and non-profit business organizations; contract negotiations; securities laws and compliance; executive employment matters; and general legal advice for corporate, partnership, and related matters.

Representative Experience

• Represented the target company in a significant cash tender offer and subsequent merger effecting a change of control, including advice to the board of directors of the target company regarding fiduciary obligations of directors and available alternatives for maximizing shareholder value
• Represented the acquiring company in an acquisition of a target satellite communications company in a forward-triangular merger transaction involving a stock-for-stock exchange and subsequent registration of the securities issued in the merger to shareholders of the target company
• Represented the acquiring company in an acquisition of a target communications company in a cash-for-stock transaction, plus a share of the post-closing earnings of the acquired company predicated on its business performance for a stated time period
• Structured and negotiated the sale of health care enterprises in a transaction, including indenture defeasance and redemption of publicly held tax-exempt bond issue, sale of assets, and disposition of associated properties
• Structured and negotiated the sale of long-term health care facilities in an assets-for-stock transaction
