Michael T. Jones

Michael Jones is a litigation attorney in Holland & Knight's Boston and San Francisco offices. Mr. Jones focuses on the representation of public and private technology, life sciences and healthcare companies in complex commercial litigation matters, including the defense of securities class actions, derivative lawsuits, public mergers and acquisitions (M&A) class actions, post-closing disputes, government investigations and other high-stakes commercial disputes. He frequently leads internal investigations for boards and their audit or special committees related to financial accounting, corporate disclosures, insider trading and other corporate governance matters, including whistleblower matters under the Sarbanes-Oxley Act and Dodd-Frank Wall Street Reform and Consumer Protection Act.

Mr. Jones advises public companies, directors, officers, and private equity and venture capital stakeholders on a wide range of compliance and risk management issues. This includes providing guidance on corporate governance, internal compliance processes and procedures, handling whistleblower complaints, the Foreign Corrupt Practices Act (FCPA), U.S. Securities and Exchange Commission (SEC) and Financial Industry Regulatory Authority (FINRA) enforcement, insider trading, and disclosure obligations under – and compliance with – federal and state securities laws. Mr. Jones also represents private equity and venture capital clients and their portfolio companies in a broad spectrum of matters, including shareholder rights, partnership, limited liability company (LLC) and private company disputes.

In addition to his legal practice, Mr. Jones frequently writes and speaks on legal issues and developments related to securities and class action litigation, public company disclosure and corporate governance issues, M&A and SEC enforcement.

Prior to joining Holland & Knight, Mr. Jones was a partner at a global law firm in its Boston and Silicon Valley offices.
