Employee Stock Ownership Plans (ESOP) Attorneys Betsy Perdue and Grant McCorkhill will be panelists at the 2019 Annual ESOP Conference in Washington, D.C.
Mr. McCorkhill will be participating in the "Basic Roles and Duties of the ESOP Company Board" panel at 10:00 - 11:00 a.m. ET. The panel will provide a foundational introduction of the core duties of ESOP board members. Mr. McCorkhill will review the interplay between state corporate law requirements and ERISA legal requirements, and the respective legal governing documents.
Ms. Perdue will be speaking during the "ESOP Insurance - Current Trends with Fiduciary Liability, Directors & Officers, and Reps & Warranties" panel at 10:00 - 11:00 a.m. ET. The panel will discuss how insurance can be used to protect selling shareholders, outside & inside directors, officers and trustees. Ms. Perdue will address insurance coverage for both mature ESOPs and companies that are planning an ESOP transaction.
