Tax attorney Brad Seltzer will participate in the Practising Law Institute's (PLI) Tax Planning for Domestic & Foreign Partnerships, LLCs, Joint Ventures & Other Strategic Alliances program, hosted in Holland & Knight's San Francisco office. The three-day event will feature presentations beneficial to all levels of professionals practicing on the transactional side of partnership structuring and joint ventures; sessions will help attendees learn how to identify planning issues that may arise when considering a partnership for a business or investment, how to draft effective partnership agreements – including partnership allocation provisions – how to manage partnership debt workouts and restructuring, and how to spot and resolve recurring tax issues in industries where partnerships are common.

Mr. Seltzer's presentation will focus on the legal ethics aspects of these matters, outlining judicial doctrines, privilege issues, and penalty and ethical standards that apply to practitioners during the partnership tax planning process. He will highlight relevant Internal Revenue Code provisions, Circular 230, Association of International Certified Professional Accountants (AICPA) Statements on Standards for Tax Services, and American Bar Association (ABA) Model Rules of Professional Conduct, along with discuss how to avoid ethical pitfalls and how attorney-client privilege and work product doctrine factor in with taxpayer audits. His session will equip attendees with an understanding of the ethical rules that affect partnership tax advisors and strategies for maintaining compliance while protecting client interests.
