Introduction to the New Florida Protected Series LLC Legislation

Corporate attorney Louis T.M. Conti will present a showcase CLE on Florida's new protected series LLC legislation at The Florida Bar's Annual Convention in Orlando, Florida. This law, signed on June 20, 2025, and effective on July 1, 2026, amends the Florida Revised Limited Liability Company Act to authorize protected series LLCs, a new category of limited liability companies (LLCs) with distinct membership, formation and operational requirements. Mr. Conti will review the new rules for these entities, including the previously unaddressed area of Florida and foreign series LLCs that conduct business in the state, as well as provide updates on implementation. The session will equip attendees with helpful insights ahead of the July 1 effective date and give them an opportunity to ask questions from individuals directly involved in drafting the legislation.
