Corporate attorney Daniel Fajardo wrote an article for Asuntos Legales in which he analyzes why the use of paragraphs in contracts may reveal deficiencies in drafting. In the article, he argues that despite their legal validity, using paragraphs can disrupt the structure of the document, hinder cross-references, create interpretation issues and complicate the drafting of bilingual contracts. To avoid these difficulties and produce clearer, more coherent documents, Mr. Fajardo recommends incorporating each rule, exception or condition directly into the main structure of the contract, rather than relying on paragraphs as a solution.
