Overview

Daniel Fajardo Villada is a business attorney in Holland & Knight's Bogotá office, where he focuses his practice on corporate and energy law.

Mr. Fajardo advises local and foreign companies in a wide range of contractual, regulatory and corporate matters, as well as in national and transnational merger and acquisition (M&A) transactions. He advises energy, oil, gas and mining companies on regulatory issues and is well versed in local and international arbitration. Mr. Fajardo's commitment to providing quality service to clients and ability to tackle complex legal challenges make him a "go-to" professional in his field.

In addition, Mr. Fajardo has extensive experience in contracts, M&A, regulatory advisory and arbitration.

Mr. Fajardo's representative legal matters include:

  • advisory services in the acquisition of solar parks in Colombia
  • advisory services in the design of engineering, procurement and construction (EPC) contracts for the expansion of the Cuxtal II gas pipeline in Mexico
  • advisory services in the acquisition of a company in the food sector in a transaction totaling approximately $44 million
  • advising GeoPark in the issuance of $350 million, 5.500 percent senior notes due 2027, issued under Regulation S and Rule 144A
  • advising the Colombian Petroleum Association (ACP) in the negotiation of the new offshore exploration and production (E&P) contract model for the development of hydrocarbons in the country
  • advising PetroLatina Energy Ltd. in its approximately $525 million sale to Canada-based Gran Tierra Energy Inc.
  • serving as the leading associate in a transaction involving the merger of two automotive industry companies in Colombia
  • advising the sellers of five auto dealerships in a transaction totaling approximately $40 million
  • advising the sellers of 72 Multiopticas stores to Lafam

Prior to rejoining Holland & Knight, Mr. Fajardo served as the head of legal for a company in the electric power sector in Colombia, where he led various energy sector projects in Colombia and Mexico.

In addition to his professional experience, Mr. Fajardo is currently a full-time professor of master's and specialization programs at the Universidad del Rosario, where he teaches courses on Contract Drafting Techniques and Corporate Transactions. Prior to this role, he also served as assistant professor of General Regime of Obligations at Universidad del Rosario and as an intern at the International Court of Arbitration at the International Chamber of Commerce (ICC) in Paris.

Mr. Fajardo has published numerous articles on energy, mining, oil and gas, and has been a guest panelist at several events.
