Florida's New Protected Series LLC Law: Part III
Corporate attorney Louis Conti published the final article in his three-part series for The Florida Bar Journal on Florida's new protected series limited liability company (LLC) legislation. This concluding piece focuses on filing requirements for protected series LLCs. The Florida Department of State requires certain filings to form, administer and operate these entities, and it has mandated that filings for protected series designation, designation change, articles of dissolution and designation cancellation be made electronically. Louis' article goes in depth into each of this areas, providing a fulsome explanation of what exactly corporate boards and counsel need to prepare, when and how they need to file it, and what types of issues could arise when compiling and submitting documentation.
