Michigan's Cases to Watch 2024: A Midyear Report

Corporate Services attorney Michael Titens was mentioned in a Law360 article reviewing notable cases making their way through Michigan's courts, including one on the constitutionality of the federal Corporate Transparency Act (CTA), an anti-money laundering law that imposes new reporting requirements on small business owners. The Small Business Association of Michigan and Chaldean Chamber of Commerce have challenged the CTA, arguing that it exceeds the scope of Congress' power to regulate interstate commerce and violates the Fourth Amendment's prohibition on unreasonable warrantless searches. Mr. Titens cautioned that a ruling in favor of the law could create a precedent allowing the legislature to request additional personal information from companies and business owners in the future.

"The government is arguing that companies and individuals do not have any expectation of privacy in the information that's being requested here and, even if there is an expectation of privacy, that the information that's being requested is reasonable. While the information being requested under this law is fairly limited, if this law were upheld, it could provide Congress the ability to ask for or compel disclosure of even more sensitive personal information," he said.
