TYSONS, Va. (February 1, 2017) – Holland & Knight advised KeyW Holding Corporation in its public offering of 8.5 million shares of common stock at a price of $10.50 per share, which closed today. The company also granted the underwriters a 30-day option to purchase up to an additional 1.275 million shares. KeyW, a provider of advanced technology and engineering solutions for the intelligence, cyber and counterterrorism communities, intends to use the net proceeds of the offering to finance possible future acquisitions and for working capital and general corporate purposes.
The Holland & Knight team was led by partners Jonathan Wolcott and Ira Rosner, who were assisted by associates Shane Segarra, Kristin Padgett and Katherine Robinson.
Holland & Knight has served as KeyW’s outside securities counsel since 2010. The firm also represented KeyW in its $100 million common stock offering in 2012, its 2014 offering of $149.5 million principal amount of convertible senior notes and its 2016 tender offer for employee stock options.
RBC Capital Markets, Barclays and Sun Trust Robinson Humphrey acted as joint book-running managers for the offering. Chardan Capital Markets, Drexel Hamilton, Maxim Group and Noble Capital Markets acted as co-managers. Paul Hastings represented the underwriters.
