Overview
Rosa María Cuevas Brun is an attorney in Holland & Knight's Mexico City office.
Ms. Cuevas has represented lenders and borrowers, including banks and financial institutions in banking and finance transactions, and has prepared and negotiated security documents for such transactions. During COVID-19, she advised Mexican banks on loans to Mexican states through the Ministry of Finance to cover temporary liquidity shortfalls. She has also represented foundations on a pro bono basis in loan agreements granted to organizations that help marginalized communities with diverse needs.
Ms. Cuevas has negotiated and designed real estate purchases and leases for resorts, commercial and industrial developments and telecommunication towers through various corporate structures, including real estate trusts, sale and lease back transactions, usufruct and development and management agreements.
As part of her practice, Ms. Cuevas also has advised in the sale and acquisition of shares and assets of Mexican companies, as well as in the implementation of shareholder control transfers and asset-sale mechanisms. She has prepared and reviewed documents for mergers and acquisitions (M&A), including sale agreements, assignment agreements, services agreements, labor matters, shareholder resolutions, entries for corporate books and share certificates. In addition, Ms. Cuevas has counseled multinational companies investing in Mexico; drafted legal opinions and memoranda related to foreign investment, real estate and corporate governance; reviewed regulatory aspects related to the acquisition of real estate; and obtained regulatory approvals from Mexican authorities.
