Overview
Brad Dumbacher is an attorney in Holland & Knight's Washington, D.C., office and a member of the International Trade Practice Group and National Security & Defense Industry Sector Group.
Mr. Dumbacher advises clients on international trade and national security regulatory matters, with a focus on foreign direct investment and industrial security, including Committee on Foreign Investment in the United States (CFIUS) reviews; Defense Counterintelligence and Security Agency (DCSA) matters, including foreign ownership, control or influence (FOCI) mitigation; and compliance with the U.S. Department of the Treasury's Outbound Investment Security Program. He represents a diverse client base of domestic and international corporations, as well as investment firms and their portfolio companies, across the defense, aerospace, telecommunications, semiconductor, manufacturing, infrastructure, energy and healthcare sectors, among others.
Mr. Dumbacher guides clients through every phase of the CFIUS process, from corporate and fund structuring to addressing national security regulatory considerations, transaction due diligence, risk assessments, negotiation and drafting of transaction documents, preparation of CFIUS filings and engagement with CFIUS agencies throughout the review process. He also advises on the negotiation and implementation of complex national security agreements and related compliance programs.
In addition, Mr. Dumbacher advises clients on national security regulatory matters related to compliance with export controls such as International Traffic in Arms Regulations/Export Administration Regulations (ITAR/EAR) and economic sanctions. He also advises on matters involving potential and ongoing congressional investigations, as well as on Federal Acquisition Security Council (FASC) investigations.
Prior to joining Holland & Knight, Mr. Dumbacher was an associate at two international law firms, advising on international trade and national security matters. Prior to joining private practice, he worked on CFIUS matters as a policy advisor in the Treasury Department's Office of Investment Security, and he previously served as a law clerk and legal fellow on the U.S. Senate Committee on the Judiciary.
