Overview

Alec Gonzalez Whitsell is an attorney in Holland & Knight's Houston office. Mr. Gonzalez Whitsell focuses his practice on energy and infrastructure transactions, including power generation equipment procurement for data center development, mergers and acquisitions (M&A) and energy project finance.

Mr. Gonzalez Whitsell regularly advises energy infrastructure companies and data center developers on the procurement of power generation equipment, including gas turbine supply agreements with leading global original equipment manufacturers (OEMs) and secondary market equipment acquisitions for large-scale, behind-the-meter generation projects. He also has experience representing lenders in connection with financings for natural gas-fired power projects, drawing on his familiarity with the legal and technical components of combined-cycle and simple-cycle gas turbine technology.

Mr. Gonzalez Whitsell also represents buyers and sellers in strategic and sponsor-backed M&A transactions across a range of industries, including energy services, industrial services and automotive. In addition, he advises private equity firms and investment advisors on fund reorganizations and fund governance matters. He is fluent in Spanish and has experience advising cross-border clients on U.S. corporate transactions.

  • Represented a data center and energy infrastructure developer in the approximately $300 million purchase of a natural gas combined-cycle power island from a non-original equipment manufacturer (OEM) seller for use in a large-scale, behind-the-meter power generation project
  • Represented a data center and energy infrastructure developer in the purchase of used natural gas turbines from a non-OEM seller for use in a large-scale, behind-the-meter power generation project
  • Represented a data center and energy infrastructure developer in the approximately $190 million procurement of six new gas turbines from a leading global OEM for use in a large-scale, behind-the-meter power generation project
  • Represented a data center and energy infrastructure developer in the approximately $300 million procurement of three new F-Class gas turbines from a leading global OEM for use in a large-scale, behind-the-meter power generation project

  • Represented a leading provider of industrial cleaning and infrastructure services in an approximately $800 million change of control transaction involving the sale of a majority equity interest to a global private equity fund
  • Represented a family-owned automotive dealership group in the disposition of four dealership locations and related real property interests to separate buyers
  • Advised a renewable energy company in the acquisition of a portfolio of renewable natural gas projects

  • Advised a governmental lender in an approximately $550 million project finance loan facility to a Fortune 500 power company for an approximately 700 megawatt (MW) natural gas combined-cycle power generation facility
  • Advised a governmental lender in an approximately $350 million project finance loan facility to a Fortune 500 power company for a 450 MW natural gas simple-cycle power generation facility
  • Advised a governmental lender in an approximately $600 million project finance loan facility to a Fortune 500 power company for an approximately 850 MW natural gas simple-cycle power generation facility
