Representative Experience
- represented Operio Group LLC, an emerging holding company building a global body of brands supplying and supporting the solid dose manufacturing industry, in its acquisition of Compression Components and Services LLC, a prominent provider of tablet press and capsule filling machines along with numerous services for manufacturers
- represented LFA Machines, a leading global provider of products and services in the tableting and encapsulation industry and an affiliate of Operio Group LLC, in its acquisition of Vivion Inc., a worldwide supplier of ingredient solutions for everyday applications
- represented various concerns in the purchase and sale of manufacturing facilities, both asset and stock transactions
- represented a publicly traded hotelier in connection with the disposition of more than $1.3 billon of hotels and other assets
- advise privately held large multinational internationally based clients concerning joint ventures and miscellaneous acquisitions and dispositions
- ongoing counsel to a physician practice group in connection with planning and possible reorganization or other transactions
- representation of physician practice groups and independent physician associations (IPAs), including the negotiation of payer and provider agreements, physician employment agreements, nonprofit restructuring and capitation risk sharing arrangements
- representation of one of two owners of "pioneer" Medicare Accountable Care Organizations, including advice regarding structuring, formation and contract negotiation
- represented an ambulatory surgery center owner/manager regarding various matters, including organization, purchase, private equity raising and sale
- represented a major hotel concern regarding transaction matters, including multiple sale-leaseback transactions
- provide ongoing advice to the owner/manager of an oil and gas royalty and mineral interests, including structure, private equity fundraising, asset purchases and sales
- provide ongoing representation of major Japanese engineering and manufacturing concern in connection with various aspects of major construction projects, including structure, consortium/joint venture agreements and Engineering, Procurement, Construction (EPC) contracts
- represent owners and operators of aircraft regarding various matters, including ownership structure and aircraft purchase, sale and leasing
- represented the seller of an independent oil and gas development company
- represented an independent committee of a board of directors in a public company regarding reorganization as a master limited partnership
- represented an independent special litigation committee of a board of directors of a public company regarding shareholder litigation
