David Rascoe

Overview
David Rascoe is a business attorney in Holland & Knight's Dallas office. Mr. Rascoe focuses his practice on transactional matters, representing private equity firms and their portfolio companies, family offices, independent sponsors, business owners and private companies in leveraged buyouts, growth equity investments, merger and acquisition (M&A) transactions, equity issuances and general corporate governance. Mr. Rascoe has represented public and privately held companies across a wide range of industries, such as manufacturing, infrastructure, healthcare, technology and software as a service (SaaS).
Prior to joining Holland & Knight, Mr. Rascoe was a summer associate in the firm's Houston office.
During law school, Mr. Rascoe was a judicial intern for the Texas Court of Criminal Appeals as well as with the Texas State Office of Administrative Hearings. He also worked at the school's Entrepreneurship and Community Development Clinic and served as an editor for the Texas Journal of Oil, Gas and Energy Law (TJOGEL). Additionally, Mr. Rascoe won awards for drafting and negotiating skills as a first-year and second-year student in the Texas Transactional Skills Competition.

- Represented a private equity company in the acquisition of an industrial equipment design business

- Represented a private equity company in the acquisition of a commercial truck and trailer manufacturing business
- Represented an investor in a commercial real estate development joint venture
- Represented a multifamily office in the formation and funding of multiple oil and gas royalty and non-operating working interest-focused portfolio companies
- Represented a private equity company in its investment in a company focused on non-operated oil and gas working interests, oil and gas development financings, structured transactions and other special situations in North America
- Represented a private equity company in the acquisition of a robotic parts manufacturing and repair business
- Represented Banbury Private Capital, a Charlotte-based independent sponsor focused on the aerospace, defense and industrial growth industries, in its acquisition of Turbine Engine Specialists, a leading aftermarket solutions provider of inventory-supported maintenance, repair, overhaul and distribution services to the global private aviation market
- Represented a private equity company in the acquisition of a custom robotic automation systems business
- Represented a private equity company in the acquisition of a manufacturing automation business
