Madeleine Williams

Madeleine Williams is a corporate attorney in Holland & Knight's Philadelphia office, where she focuses her practice on corporate and transactional matters, including mergers and acquisitions (M&A), corporate governance and general corporate matters. Ms. Williams advises publicly and privately held corporations, as well as private equity sponsors and their portfolio companies, across a wide range of industry sectors.

Prior to joining Holland & Knight, Ms. Williams served as legal counsel at a global investment firm headquartered in New York. She began her career as a corporate attorney at another major international law firm in its Philadelphia office.

Representative Experience

• Represented Watsco Inc. (NYSE: WSO), the largest distributor of air conditioning, heating and refrigeration (HVAC/R) equipment and related parts and supplies in the HVAC/R distribution industry, in its acquisition of The Granite Group, a diversified distributor of plumbing and HVAC products with approximately $500 million in sales throughout seven Northeast states, from multiple owners, including BBH Capital Partners, a private equity firm
• Represented Trinity, a private equity-backed leader in global life sciences commercialization solutions, in its acquisition of the advisory services operations in Asia-Pacific and the Middle East (APACME) from EVERSANA, a leading global provider of integrated commercial services for the life sciences industry that delivers solutions across the entire pharmaceutical product life cycle to improve patient outcomes and help companies bring therapies to market efficiently
• Represented Quasar Medical in connection with its acquisition of Nordson Corporation's design and development contract manufacturing businesses in Galway, Ireland, and Tecate, Mexico
• Represented Otis Worldwide Corporation (NYSE: OTIS) in its acquisition of eight locations from Urban Elevator
• Represented Cengage Group in its acquisition of Visible Body
• Represented Harris Freeman & Co. Inc., a leading private brand tea manufacturer, in its definitive agreement to sell certain subsidiaries that operate its private brand tea business in the U.S., Harris Tea, to TreeHouse Foods Inc. (NYSE: THS)
• Represented Clean Team LLC, a provider of commercial janitorial and facilities cleaning services, in connection with an investment from Blue Sage Capital, a private equity firm
