Outside Capital Is Coming for the Legal Industry

Legal Services Transactions Team Co-Leaders Trisha Rich and Joshua Porte were featured on an episode of the Legal Innovation Spotlight podcast, where they explored the rapidly evolving management services organization (MSO) model and the influx of outside investor interest in the legal industry. They opened with an overview of the MSO transaction structure and how it allows law firms to split professional legal services from non-professional assets and backend operations such as human resources (HR) and information technology (IT) services. They then detailed how MSOs are built to comply with the Rules of Professional Conduct, in particular Rule 5.4 regarding law firm ownership, and addressed questions regarding legal ethics, rightful ownership and regulatory compliance, from comparisons between the U.S. and other jurisdictions to the history of Rule 5.4 and its current place in the legal profession. The conversation went on to describe paths for nonlawyer investment in legal services and the ways MSOs create beneficial opportunities for both private equity investors and practicing lawyers, including the capital needed to innovate or modernize infrastructure. The episode concluded with a discussion about the risks law firm leaders face either when embracing new capital structures or sticking with current frameworks.
