Overview

Josh Porte is an attorney in Holland & Knight's Nashville office. Mr. Porte advises clients in connection with mergers, acquisitions, divestitures, joint venture agreements and other strategic business and fundamental transactions. He counsels private equity firms and other investors with respect to investments in dental, medical, physical therapy and other healthcare-related enterprises. He has extensive experience in implementing management relationships to assist with the deployment of capital in these sectors. Mr. Porte also assists cannabis businesses with financings, corporate governance and contract negotiations.

Previously, Mr. Porte gained valuable experience as a corporate associate with firms in Nashville and Minneapolis. Additionally, he served as a judicial clerk to the Honorable Priscilla R. Owen of the U.S. Court of Appeals for the Fifth Circuit in Austin, Texas.

  • Represented Onlife Health and BlueCross BlueShield of Tennessee in the sale of Onlife to GuideWell Health
  • Served as lead transaction counsel to CapEx, a private-equity backed project management and cost management consultancy firm, in its acquisition by Cumming
  • Represented Direct Radiology in the sale of its teleradiology platform to Royal Philips
  • Served as legal advisor to truck brokerage firm Everest Transportation Systems in a transaction with Cambridge Capital, a leading investment firm focused on the applied supply chain, who made a majority investment in the company
  • Assisted HCA Healthcare Inc., one of the nation's leading healthcare providers, in obtaining majority ownership in the parent company of Galen College of Nursing
  • Represented Tru Family Dental in its acquisition by Heartland Dental and assisted with regulatory compliance and corporate matters
  • Represented software platform Kindful in its acquisition by Bloomerang, a leader in cloud-based donor management and fundraising software for small and mid-size nonprofits
  • Represented Lorient Capital in its partnership with a Missouri-based, regional provider of long-term care, assisted living and geriatric services
  • Represented MindCare Solutions Group in its acquisition of TriCounty Tele Behavioral Services
  • Represented investment firm Sorensen Capital in its investment in Spring Dental Intermediate
