Wood Smith, Charlesbank Capital Ink Pioneering MSO Deal

Legal Services Transactions Team Co-Leader Trisha Rich was cited in a Law360 article about insurance defense firm Wood Smith Henning & Berman's agreement to receive investment from Charlesbank Capital Partners through a management services organization (MSO) structure. The article highlighted the transaction as one of the largest publicly announced law firm MSO deals in the U.S. to date and examined how growing private capital interest in the legan industry is expanding beyond personal injury practices into other sectors, including insurance defense. Citing Holland & Knight's work advising on MSO deals, Trisha affirmed that investor interest in insurance defense firms continues to increase and predicted activity in the market will accelerate.

"In the first three quarters of 2026, we closed 36 MSO transactions, and only 16 were personal injury," she said. "I think insurance defense is attractive to capital holders for a number of reasons, and I expect this market will heat up."
