Holland & Knight Advises GeoPark on $425 Million Securities Offering
BOGOTÁ (Sept. 25, 2017) – Holland & Knight acted as local counsel in Colombia to GeoPark Limited on the issuance of its $425 million of 6.500% secured amortizing notes due 2024. The offering closed on Sept. 21. GeoPark (NYSE: GPRK) is a leading independent Latin American oil and gas explorer, operator and consolidator with assets in Argentina, Brazil, Chile, Colombia and Peru.
Concurrently with the issuance of these notes, GeoPark executed a cash tender offer for its 7.50% senior secured notes due 2020, to be funded with the proceeds from the notes offering. Holland & Knight also advised the issuer in aspects of Colombian law related to this transaction.
The notes were offered in transactions exempt from registration in reliance upon Rule 144A and Regulation S under the United States Securities Act of 1933. Goldman Sachs and Credit Suisse acted as joint bookrunners. The Bank of New York Mellon acted as trustee, paying agent and transfer agent.
