Overview
Brian Balduzzi is a private wealth and tax attorney in Holland & Knight's Philadelphia and New York offices and a member of the Global Wealth and Family Office Practice Group. Mr. Balduzzi focuses his practice on estate planning, tax planning, charitable planning, business succession, family office services, trust and estate administration, and fiduciary counseling for high-net-worth individuals, families, entrepreneurs, executives, fiduciaries and closely held business owners.
Mr. Balduzzi provides comprehensive guidance on sophisticated estate and gift tax planning, generation-skipping transfer tax planning, income tax planning, charitable giving, qualified small business stock (QSBS) planning, trust modification and decanting, probate and estate settlement, and the use of advanced planning vehicles such as, but not limited to, spousal lifetime access trusts (SLATs), spousal lifetime access non-grantor trusts (SLANTs), intentionally defective grantor trusts (IDGTs), grantor retained annuity trusts (GRATs) and incomplete non-grantor (ING) trusts.
Clients rely on Mr. Balduzzi for pragmatic, holistic counsel that integrates legal, tax, financial and business considerations. He helps families plan and protect legacies, structure tax-efficient wealth transfers, address fiduciary and administration issues, and prepare closely held businesses for succession, transition and long-term growth.
Prior to joining Holland & Knight, Mr. Balduzzi practiced in private client services at an AmLaw 100 firm, where he served as the co-chair of the Family Office Initiative, and another full-service law firm, advising media and corporate executives, entrepreneurs, intergenerational wealth-holders and real estate developers on sophisticated estate, tax and business planning. He also held fiduciary strategy and operational planning roles at a leading trust company and financial services firm, where he advised families with net worth ranging from approximately $25 million to $4 billion.
While in law school, Mr. Balduzzi was a member and notes editor of the Boston University Public Interest Law Journal. While earning his MBA, he served as editor-in-chief of the Cornell Business Journal.

- Advised high-net-worth individuals and families on business, estate, charitable, and state and federal tax planning matters
- Drafted complex wills, revocable and irrevocable trusts, insurance trusts, supplemental needs trusts, powers of attorney and healthcare directives
- Counseled families and charitable organizations on philanthropic and charitable giving strategies, including the formation and administration of private family foundations and charitable split-interest trusts
- Prepared and advised on gift, estate, inheritance and fiduciary income tax returns and developed strategies to minimize income, gift, estate and generation-skipping transfer taxes
- Advised individuals and families on the formation and management of single and multifamily offices
- Advised business owners, entrepreneurs and family enterprises on business succession planning and ownership transfer
- Reviewed and drafted corporate documents for limited liability companies (LLCs), partnerships and corporations in connection with estate, tax and business planning
- Counseled domestic and international families, including those with $10 million to more than $100 million in net worth, on integrated business, tax and estate planning matters
- Represented estates, trustees and beneficiaries in estate and trust administration, including probate proceedings, accountings and fiduciary compliance
- Prepared probate filings, accountings and court submissions and advised fiduciaries on duties
- Represented estates and trustees in contested and uncontested matters, including pleadings, answers and discovery in trust and estate litigation
- Prepared and filed private letter ruling (PLR) requests for the interpretation and application of tax consequences for individuals' and trusts' specific factual situations
- Advised and counseled individuals and families on sophisticated insurance solutions, including private placement life insurance and premium financing
