Overview

Miguel Couttolenc is a corporate attorney in Holland & Knight's Mexico City office. Mr. Couttolenc focuses his practice primarily on mergers and acquisitions (M&A) and project finance.

Mr. Couttolenc advises companies and banking institutions in structured financing transactions with complex collateral schemes. He also advises domestic and foreign sellers, buyers and investors in local and cross-border M&A transactions, as well as in the implementation of strategic alliances.

In addition, Mr. Couttolenc has knowledge and experience in joint ventures, corporate governance and general corporate law.

Prior to joining Holland & Knight, Mr. Couttolenc worked for a full-service Mexican law firm.

Representative Experience

  • Advised a lending company to carry out a structured financing to a leading Mexican real estate company for the acquisition and administration of industrial warehouses in the Bajío area and northern Mexico
  • Advised a lending company to carry out a structured financing to a leading Mexican real estate company to refinance its debt and expand its administration of shopping malls and corporate office buildings in Mexico City
  • Advised a Mexican banking institution to carry out a structured financing to the government of Hidalgo to enable it to deploy a bus transportation system for the city of Pachuca de Soto and its metropolitan area
  • Advised a foreign telecommunications company in the structuring of a loan to a leading Mexican telecommunications company for the deployment of a major fiber optic network
  • Advised a leading telecommunications company in Mexico in its restructuring and merger with another leading telecommunications company in Mexico and the United States, in a deal worth more than $4 billion
  • Advised a foreign investment fund in a funding round to acquire a stake in a Mexican technology start-up, which subsequently and consequently acquired the status of a "unicorn" company
  • Advised on the delisting of the publicly traded shares of one of Mexico's leading energy companies
