Overview

Andrew C. Erickson is an attorney in Holland & Knight's Tysons office, where he practices in the areas of mergers and acquisitions, private equity, entity structuring and formation, and general corporate matters. In addition, Mr. Erickson represents borrowers and lenders in connection with senior credit facilities and other debt financing. He provides counsel to clients in a number of industries, including government contracting, private equity, information technology and energy.

Mr. Erickson's recent representative matters include:

  • Representing Diné Development Corp. in its acquisition of Spin Systems Inc., a leading architect of big data solutions for the U.S. Department of Defense (DOD) and intelligence communities
  • Representing Diné Development Corp. in connection with a senior secured revolving credit facility with a large institutional lender for a government contractor
  • Representing GracoRoberts in its bolt-on acquisition of an aerospace specialty composites, paints and resin manufacturer for CM Equity Partners
  • Represented Joby Aviation Inc. (NYSE: JOBY) in connection with a $200 million strategic alliance and private investment in public equity (PIPE) in a leading electric vertical takeoff and landing aircraft manufacturer by Delta Airlines (NYSE: DAL)
  • Representing Tracepoint LLC in connection with a strategic investment in a leading global cybersecurity, digital forensics and incident response company by Booz Allen Hamilton (NYSE: BAH)
  • Representing a public renewable energy company in a secured letter of credit facility for equipment financing
  • Advising Gannett Fleming, an engineering and infrastructure provider, in receiving an investment from private equity firm OceanSound Partners
  • Advising CrossCountry Consulting, a provider of accounting, finance, risk, operations, cyber and technology-enabled transformation solutions for public and private organizations and a portfolio company of Investcorp, in its add-on acquisition of SCS Cloud, a leader in cloud-based business management software solutions with professionals in the United States, Canada and United Kingdom (U.K.)
  • Representing a private equity fund in a $250 million cross-border sale of a group of portfolio companies to a non-U.S. public company
  • Representing a government contractor in a $180 million equity sale to another government contractor
  • Representing a government contractor in a $135 million equity sale to a private equity firm
  • Representing a government contractor in a $33.5 million senior secured credit facility
  • Representing a private equity-backed government contractor in a multitranche acquisition finance term loan and revolving credit facility
  • Representing a privately held government contractor in a sale to a Florida-based private equity firm
  • Representing a public renewable energy company in a $60 million senior secured credit facility

In 2024, Mr. Erickson undertook a secondment to a London-based law firm where he advised on various cross-border transactions involving the U.S., the U.K. and other countries in Europe.

Prior to joining Holland & Knight, Mr. Erickson worked as a summer law clerk at the U.S. Department of Homeland Security's Immigration and Customs Enforcement (ICE) and as an intern at the Superior Court of the District of Columbia.
