Overview

Brandon Faulkner is an attorney in Holland & Knight's Tampa office who focuses his practice on complex business litigation, with a particular ability to handle technical and high-stakes matters. With extensive trial experience in federal and state courts and arbitration proceedings, Mr. Faulkner is a trusted advocate for resolving sophisticated disputes.

Mr. Faulkner has extensive experience representing clients in mergers and acquisitions (M&A) disputes, including indemnification claims, purchase price adjustments and post-closing covenants. In addition to representing buyers and sellers in direct claims, Mr. Faulkner also represents insurers with respect to transactional risk policies covering representations and warranties. His practice further involves directors and officers (D&O) litigation, including matters relating to duty of care, duty of loyalty, corporate waste, fraud, self-dealing and shareholder disputes. Mr. Faulkner's cases frequently demand a broad understanding of technical accounting, finance, damages modeling and valuation.

Aside from his corporate-focused litigation practice, Mr. Faulkner also represents clients involved in significant litigation matters, including mass tort, civil Racketeer Influenced and Corrupt Organizations Act (RICO), class action and fraud claims. When needed, Mr. Faulkner provides counsel on media and public relations to buttress an overall litigation strategy.

Mr. Faulkner also frequently provides pro bono assistance to clients seeking the return of children under the Hague Convention on the Civil Aspects of International Child Abduction.

Prior to his legal career, Mr. Faulkner worked in the defense industry as an advanced manufacturing engineer, managing the production of integrated electronic guidance and navigation systems for missiles and military aircraft. This technical knowledge and experience guides his ability to handle complex litigation involving engineering, manufacturing and technology.

  • Obtained a complete trial victory for a private equity buyer in claims concerning a $16 million transaction in the fiber optics infrastructure industry
  • Represented a private equity firm in a dispute relating to its $30 million investment in a health insurance provider
  • Defended directors and officers for multiple community banks against claims by the Federal Deposit Insurance Corporation (FDIC)
  • Brought claims for waste and self-dealing against directors and officers of a company in the automotive technology industry
