Overview

Francisco Andrés Gámez-Garza is a corporate attorney in Holland & Knight's Monterrey office. Mr. Gámez-Garza has more than 18 years of experience advising clients in corporate, mergers and acquisitions (M&A), general financing, joint ventures, due diligence, business structuring, divestitures, sales, spinoffs, dissolution, company liquidation and real estate transactions. He has also helped to set up and oversee operations in Mexico for local and multinational clients.

In addition, Mr. Gámez-Garza has broad experience in the environmental sector, including environmental permitting. His financing experience includes advising financial institutions and companies in structuring and securing financing transactions.

Prior to joining Holland & Knight, Mr. Gámez-Garza worked for a leading Mexican law firm. He also worked for a Mexican multinational building materials company, where he advised on several strategic operations and special projects, including the company's day-to-day corporate legal needs.

In addition, Mr. Gámez-Garza has completed a seminar on American law and language in 2002 and business law studies at the University of Connecticut in 1998.

  • Advised a Chinese automotive manufacturer in the establishment of its operations in Mexico on the import and distribution of vehicles through a dealers network
  • Advised a white appliances Chinese manufacturer in the establishment of its operations in Mexico of a manufacturing plant and subcomponents in the State of Nuevo León; counsel included tax planning, business structuring, negotiating incentives with the state government, acquiring land, overseeing all environmental and urban development permits and licenses, and customs and foreign trade matters
  • Advised a Korean manufacturer on the e-mobility industry sector in the establishment of its operations in Mexico of a manufacturing plant and subcomponents in the State of Durango; counsel included negotiating incentives with the state government, acquiring land, overseeing all environmental and urban development permits and licenses, and customs and foreign trade matters
  • Advised a Chinese manufacturer of lawn mowers in the establishment of its operations in Mexico of a manufacturing plant in the State of Nuevo León; counsel included negotiating business structuring, incentives with the state government, acquiring land, overseeing all environmental and urban development permits and licenses, and customs and foreign trade matters
  • Advised a U.S. brake manufacturer on the establishment of a manufacturing plant and subcomponents in the State of Jalisco; counsel included tax planning, business structuring, negotiating incentives with the state government, acquiring land, overseeing all environmental and urban development permits and licenses, and customs and foreign trade matters
  • Counseled a U.S.-based specialty truck company in the process of establishing a manufacturing plant for heavy vehicles in the State of Guanajuato
  • Helped a large U.S. corporation obtain land, water, air and waste environmental permits to set up a Mexican subsidiary in Bajío, Mexico; advice included representation before environmental federal, state and municipal government agencies and urban development authorities, legal analysis regarding the subsidiary's particularity air emissions requirements, and advice on securing water concessions
  • Assisted with environmental due diligence and environmental regularization (permitting) before environmental federal, state and municipal and mining governmental agencies for a hotel project in Mazatlan, Sinaloa
  • Assisted a Canadian bank with the implementation of Mexican securities and collateral package to secure the due payment and performance of the debtor's obligations under a credit agreement for a multimillion-dollar amount; assisted the same client in amending the terms and conditions of a Mexican security trust agreement
