Overview
Doug Gosden is a financial services attorney in Holland & Knight's Atlanta office with more than 30 years of experience in commercial finance transactions, with an emphasis on syndicated finance transactions. Mr. Gosden regularly represents financial institutions, direct and institutional lenders and corporate borrowers in domestic and cross-border leveraged and investment-grade lending transactions, as well as restructuring and bankruptcy matters.
Mr. Gosden's experience also includes working capital facilities, first- and second-lien financing arrangements, split-lien financings and other customized loan arrangements involving intercreditor agreements, agreements among lenders and subordination agreements. Additionally, he is well versed in handling commercial paper backstop facilities, acquisition financing (including certain funds transactions and leveraged buyouts) and the subsequent and related transactions that follow, including dividend recaps, add-ons, upsizes and repricing transactions, and liability management transactions.
Mr. Gosden's industry experience includes digital infrastructure, including tower companies, data centers and fiber optic providers, manufacturing, financial technology (FinTech), telecommunications, software as a service (SaaS) and healthcare. Mr. Gosden also counsels clients on all aspects of secured transactions, including Uniform Commercial Code (UCC) foreclosure proceedings.
Mr. Gosden is a frequent speaker in the area of banking and finance. His most recent presentations have covered topics such as cross-border financings, intercreditor agreements and other financing matters.

- Advised the agent bank in connection with the $400 million senior secured credit facility consisting of a revolving loan and delayed draw term loan provided to an owner and operator of wireless infrastructure sites worldwide
- Represented a large financial institution as administrative agent in connection with $92 million senior secured credit facilities consisting of revolving loans and a term loan provided to a global importer and distributor of chemicals
- Advised the agent bank in connection with the $88.3 million senior secured credit facility consisting of a revolving loan, term loan and delayed draw term loan provided to an owner and operator of wireless infrastructure sites worldwide
- Advised the agent bank in connection with the $122 million senior secured credit facility consisting of a revolving loan and term loan provided to a technology company
- Represented a large financial institution as administrative agent and lender in connection with an employee stock ownership plan (ESOP) loan facility provided to a large transportation company
- Represented a large financial institution as the left lead arranger and administrative agent in connection with an ESOP loan facility provided to a craft brewery
- Represented the agent bank in connection with the $140 million senior secured credit facility consisting of a revolving loan, term loan and delayed draw term loan provided to a builder and operator of high-capacity broadband networks throughout the United States
- Represented the left lead arranger and administrative agent in connection with a $20 million Term B loan add-on facility and the repricing of an existing $200 million secured credit facility provided to a data center facility operator
- Represented the agent bank in connection with the $135 million term loan facility increase and repricing for a builder and operator of fiber optic networks throughout midsize cities in the Eastern and Central regions of the U.S.
- Represented administrative agent and sole lead arranger in connection with the amendment and restatement of an existing $75 million senior secured credit facility consisting of a revolving loan and term loan, and a new $30 million senior secured credit facility consisting of a revolving loan and term loan to a cable company with operations in the Bahamas and Florida
- Advised a leading financial services company in connection with the refinancing of an existing $185 million senior secured credit facility consisting of a revolving loan to a wireless tower operator
