Overview

Ted Habermann is a business franchise and distribution attorney in Holland & Knight's Nashville office. For more than 40 years, Mr. Habermann has advised franchisors, from startups to mature companies, on a broad spectrum of transaction and regulatory issues across a wide range of industries, which include food service, hospitality, fitness, retail and consumer services.

Mr. Habermann assists clients with their contracts and legal compliance, including preparing franchise disclosure documents, franchise and distribution agreements, state registration filings, franchise administration and compliance with franchise sales and relationship laws. He counsels franchise systems on a broad array of operating issues ranging from contract enforcement to trademark protection, relationship disputes, terminations and transfers, implementation of systemwide changes, conversion of company-owned to franchised locations, and responding to state and federal administrative inquiries and investigations.

Mr. Habermann also provides lenders and private equity investors with due diligence services related to franchise system acquisitions and investments, as well as financing for franchise systems.

In addition, Mr. Habermann's experience includes sales and marketing arrangements, sponsorship agreements, sweepstakes and promotions, venue facility agreements and entertainer endorsements.

For more than 20 years, Mr. Habermann served as in-house counsel for two national restaurant chains in the family dining and fast casual restaurant industry, and as general counsel for a national provider of fire and water damage restoration services.
