Overview

Alexis Leineweber is a capital markets and public company advisory attorney and senior counsel based in Holland & Knight's Chicago office. Ms. Leineweber concentrates her practice on capital markets transactions and U.S. Securities and Exchange Commission (SEC) disclosure and compliance matters.

Ms. Leineweber represents issuers in connection with initial public offerings (IPOs), secondary equity offerings and high-yield offerings. She also regularly advises publicly traded corporations, S&P 500, middle-market and emerging companies, as well as their executive officers and directors, on corporate governance requirements, trends and best practices, SEC reporting and compliance matters, stock exchange listing requirements, the Sarbanes-Oxley Act, the Dodd-Frank Act, stockholder activism and proposals, and fiduciary duties of directors and officers.

In addition, Ms. Leineweber has extensive experience in the representation of numerous public and private companies in mergers, acquisitions, divestitures and reorganizations.

Prior to joining Holland & Knight, Ms. Leineweber was an attorney at a global law firm in its Milwaukee office. While in law school, she was a member of the Marquette Law Review.

Previously, Ms. Leineweber worked for a U.S. mutual fund transfer agent, preventing fraudulent transactions by evaluating identity, validity and acceptability of requests within the terms of IRS regulations, the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC) restrictions and probate laws.

Not yet admitted to Illinois Bar; admitted to Wisconsin Bar only and practicing under supervision of lawyers licensed to practice in Illinois.
