Overview

Daniel Levisohn is a business attorney in Holland & Knight's Washington, D.C., office. Mr. Levisohn focuses his practice on complex commercial transactions, with an emphasis on companies in the real estate industry.

Mr. Levisohn has extensive experience advising fund sponsors on the formation, negotiation and operation of private investment funds, with a particular focus on real estate funds. He has represented many leading real estate fund sponsors in establishing closed-end funds, programmatic joint ventures and other investment vehicles and accounts across a range of asset classes. He has also represented institutional investors on their private fund investments.

In addition to capital formation, Mr. Levisohn has also represented numerous real estate investment trusts (REITs) and other real estate companies on their mergers and acquisitions (M&A), including public and private M&A, joint ventures and other complex transactional matters.

Mr. Levisohn's clients include companies from a wide range of industries, including real estate, defense, manufacturing, finance and insurance. Companies have relied upon him for some of their most challenging transactions, including the formation of an innovative real estate investment platform by one of the nation's leading multifamily investment companies and the sale of a public technology and defense company in a cash and stock merger transaction.

In addition to his legal practice, Mr. Levisohn maintains an active pro bono practice in which he advises nonprofits on matters ranging from labor and employment to board governance.

Prior to joining Holland & Knight, Mr. Levisohn was an associate at another international law firm in Washington, D.C. While in law school, he served as an articles editor of the Minnesota Law Review.

Before his legal career, Mr. Levisohn was a reporter and editor in Seattle and New York City.

Representative Experience

  • Represented FCP (formerly known as Federal Capital Partners), a privately held real estate investment sponsor focused on residential and commercial assets throughout the United States, in the successful formation of its investment vehicles, including:
    • Fund V, which closed with $1.188 billion in capital commitments in 2021
    • Fund V Co-Invest, which closed with approximately $360 million in capital commitments in 2021
  • Represented Horizon Land Co., a real estate fund sponsor focused on creating and maintaining affordable land-leased neighborhoods, in the successful formation of its investment vehicles as well as other corporate matters, including:
    • Fund II, which closed with approximately $200 million in capital commitments in 2018
    • Fund II Co-Invest vehicle, which closed with more than $250 million in capital commitments in 2021
  • Represented a leading U.S. multifamily asset manager in the formation of multiple value-add private real estate funds with aggregate capital commitments of more than $1.3 billion
  • Represented a leading U.S. multifamily asset manager in the formation of an $800 million real estate investment platform with institutional partners that targeted multifamily apartment housing
  • Represented an investment firm focused on multifamily real estate, in its internal organizational restructuring, employee incentive compensation and related matters

  • Represented a real estate sponsor in the formation of its first general partner (GP) fund targeting capital commitments of $35 million and multiple development joint ventures and on other corporate matters
  • Represented a U.S. real estate institutional investor in its $22 million preferred equity investment in a retail center development
  • Represented MGM Growth Properties LLC in its $4.6 billion joint venture with Blackstone Real Estate Income Trust to acquire the Las Vegas real estate of MGM Grand and Mandalay Bay

  • Represented Buske Logistics, a premier provider of critical contract logistics services with expertise in the packaging, food and beverage, and automotive industries, in its sale to Fourshore Partners
  • Represented Washington Harbour Partners on its majority investment in CollabraLink Technologies LLC, now known as Groundswell
  • Represented Greystar Real Estate Partners in its acquisition of the property management business of Alliance Residential Co.
