Overview

Nathan Mitchell is an attorney in Holland & Knight's Washington, D.C., office, where he is a member of the Public Policy & Regulation Group and National Security & Defense Industry Sector Group.

Mr. Mitchell advises on a broad range of national security and government matters, including reviews by the Committee on Foreign Investment in the United States (CFIUS), Defense Counterintelligence and Security Agency (DCSA) and Committee for the Assessment of Foreign Participation in the U.S. Telecommunications Services Sector (Team Telecom). He has represented a variety of clients, including U.S. and foreign private equity sponsors, as well as U.S. and foreign companies across multiple industries. Prior to joining Holland & Knight, Mr. Mitchell was an attorney at a global firm in its Washington, D.C., office, where he counseled a diverse range of clients.

Mr. Mitchell has held legal positions for several U.S. government agencies. He served as a lawyer for the U.S. Army in the Office of the Army General Counsel in active duty and civilian positions. He later served as associate general counsel in the Office of the Director of National Intelligence (ODNI) and as a staff attorney in the Foreign Investment Review Section of the U.S. Department of Justice's (DOJ) National Security Division. In these roles, Mr. Mitchell developed ODNI's input to the Foreign Investment Risk Review Modernization Act of 2018 – which substantially expanded and modernized the operations of CFIUS – and reviewed a number of transactions as a member of CFIUS.

  • Represented U.S. private equity sponsors in connection with a foreign co-investor's CFIUS filing for their $17 billion acquisition of a U.S. healthcare company
  • Represented a Japanese industrial company in connection with a CFIUS filing for its $15 billion acquisition by a Japanese private equity acquirer
  • Represented a U.S. data center company in obtaining CFIUS clearance for its $14.3 billion acquisition by a U.S. and European private equity consortium
  • Represented a leading digital product engineering company in obtaining CFIUS clearance for its $9.5 billion sale to a Japanese acquirer
  • Represented a European private equity investor in obtaining CFIUS clearance for its investment in a cybersecurity company
  • Counseled a U.S. private equity investor in its acquisition of a majority stake in a U.S. clean energy firm
  • Advised a Japanese private equity sponsor on CFIUS considerations for multiple transactions
  • Obtained CFIUS clearance for a European semiconductor company in its $1.76 billion acquisition of a wireless connectivity portfolio
  • Represented a U.S. electrical components manufacturer in obtaining CFIUS clearance for its $1.8 billion acquisition by a Taiwanese company
  • Represented a U.S. insurance company in its $3.1 billion acquisition by a Japanese acquirer
  • Advised a European defense industrial company in the CFIUS, Defense Counterintelligence and Security Agency (DCSA) and International Traffic in Arms Regulations (ITAR) aspects of its $3 billion merger with an Israeli defense company
