Overview

Morgan Moore is a corporate and tax attorney in Holland & Knight's Houston office. Ms. Moore represents buyers and sellers in complex mergers and acquisitions (M&A) and advises on joint ventures, co-development structures and project development, primarily across the energy industry.

Ms. Moore also advises clients on tax equity investments and tax credit transfers under the Inflation Reduction Act (IRA), including structuring and negotiating tax equity investments and IRA tax credit transfer transactions for project developers, investors and financial institutions across a range of renewable energy technologies.

In addition, Ms. Moore has a broad range of experience in domestic and cross-border acquisitions and divestitures, private equity investments and corporate governance for clients in the energy sector and other industries.

Representative Experience

  • Represent clients in various industries in the purchase and sale of tax credits
  • Represented a national bank in a tax equity investment valued at more than $250 million in battery energy storage facilities in Utah
  • Jointly represented a cohort of 10 corporate buyers in the pharmaceutical industry in a first-of-its-kind aggregated purchase of renewable energy credits from two different developers, with several solar facilities being developed in Spain by each developer
  • Represented a syndicate in a tax equity investment of more than $150 million in battery energy storage facilities across the U.S.
  • Represented a major U.S. renewable energy producer in the acquisition of solar projects across Pennsylvania, New Jersey and Maryland (PJM)
  • Assisted with the formation of a joint venture to create renewable feedstocks leveraging the parties' expertise in oil seed processing, farmer relationships, fuels manufacturing and marketing
  • Represented a public energy company in multiple asset-backed securitizations (ABS) with sustainability-linked features, involving certain Appalachian assets along with certain midstream assets and revenue streams
  • Represented the buyer in the acquisition of renewable energy engineering, procurement and construction (EPC) company
  • Represented the buyer in the acquisition of a shale company and its subsidiaries' upstream oil and gas assets and midstream company and its subsidiaries' midstream assets as part of the 363 sales process of the debtor sellers
  • Represented a private equity company in the formation of a drilling partnership between a private equity fund and a major oil and gas company to develop assets in the Permian Basin
  • Represented the seller in the divestiture of offshore oil and gas interests in the Gulf of Mexico
  • Represented the buyer in the acquisition of an upstream and midstream company in Alaska
  • Represented a major oil and gas company in an all-stock merger-of-equals with another major oil and gas company
  • Represented a private equity company in its investment in a full-cycle water management and infrastructure services provider focused in the Permian Basin
  • Represented a major coal company in its divestiture of substantially all of its assets in a 363 sale process
