Kevin J. Neveloff


Kevin J. Neveloff is a New York real estate attorney who focuses on commercial real estate transactions, including property acquisitions and sales, negotiating and structuring financing transactions on behalf of borrowers and lenders, and the formation and operation of joint ventures for property ownership and development. He is also experienced in ground leasing, development rights transfers and acquisitions, commercial leasing and subleasing, cellular antenna and weather camera license agreements, and solar energy service agreements.

Prior to joining Holland & Knight, Mr. Neveloff worked with another top New York law firm handling complex lender-side real estate finance matters throughout the U.S., including commercial mortgage-backed securities (CMBS), securitized loan origination and modification, national portfolio loan workouts and mezzanine lending.


  • Assisted in the $367.5 million purchase of the US Bank Tower in Los Angeles, then the tallest building west of the Mississippi River, together with a nearby garage and Maguire Gardens
  • Assisted in the $250 million purchase of the iconic Chelsea Hotel in New York City, which involved the formation of a joint venture with certain existing owners and construction financing for the redevelopment of the project into a hotel and residential condominiums
  • Assisted in the $230 million acquisition of the Baccarat Hotel in New York City, including negotiating post-acquisition financing
  • Advised on the $218 million sale of property and development rights on the High Line elevated linear park in New York City and served as lead attorney on related Section 1031 exchange transactions involving the acquisition of an apartment complex in Connecticut, an industrial property in Georgia and tenancy-in-common interests in several Florida residential developments
  • Represented the owner of a multi-phase ground lease development project that, when completed, will yield 100,000 square feet of newly constructed retail space for client and approximately 1,000 affordable housing units for development partner
  • Advised on $271 million construction mortgage and mezzanine loans for the conversion of a residential building to condominium ownership
  • Served as lead attorney on a $42 million hotel loan involving unwinding existing ground lease and subleases in a manner structured to avoid transfer taxes
  • Served as lead attorney on the formation of a joint venture for the development of and related $278 million construction financing for the Two Fulton Square project in the New York City borough of Queens that, when completed, will feature two towers containing a collective 400 residential condominium units, 350,000 square feet of commercial space and a 240-key hotel
  • Advised on the formation and operation of a joint venture for the mortgage and mezzanine financing of 3 Sutton Place, a "super tall" development site in New York City
  • Advised on the formation and operation of joint venture for the acquisition and development of a boutique hotel

  • Served as lead attorney on multiple development rights transactions representing both purchasers and sellers

  • Negotiated numerous license agreements with cellular service providers and local television stations across North America for the installation and use of relevant equipment on a major hotel chain's buildings
