Diana Paola Serrano

Diana Serrano is a corporate attorney in Holland & Knight's Bogotá office. Ms. Serrano's practice focuses on consulting and advising clients on a wide range of commercial, corporate and compliance matters.

As a member of the Corporate Services Team, Ms. Serrano advises clients on the incorporation and operation of companies and compliance with general corporate duties, transactions and due diligence processes, as well as the structuring of shareholders' agreements, share purchase agreements, capitalization processes, liquidations and corporate reorganizations. Her experience also includes advising on mergers and acquisitions (M&A), reorganizational and acquisitive decisions and handling authorization proceedings before the Superintendency of Corporations. Ms. Serrano's work further encompasses guiding clients through regulatory compliance obligations and implementing corporate governance frameworks to ensure alignment with Colombian law and international standards.

In the area of compliance, Ms. Serrano has extensive experience in the design and implementation of corporate compliance programs, including the preparation and execution of corporate transparency and business ethics programs (Programas de Transparencia y Ética Empresarial or PTEE), anti-money laundering and counter-terrorism financing risk management systems (SAGRILAFT and SARLAFT), as well as other compliance programs and manuals tailored to different industries and economic sectors. She also advises on the appointment of compliance officers, drafting board or shareholder minutes for the approval of compliance manuals and policies, and conducting corporate investigations related to governance and compliance risks.

Additionally, Ms. Serrano assists clients in insolvency and bankruptcy proceedings before the Superintendency of Corporations, supporting them in managing legal risks associated with financial distress and in structuring reorganization processes, while ensuring compliance with insolvency regulations and procedural requirements.

Ms. Serrano completed the international insolvency law specialization program through INSOL International, the global association of restructuring, insolvency and bankruptcy professionals, and is currently pursuing an LL.M. in international business law at Tilburg University.
