Carson Southard

Carson Southard is a healthcare attorney in Holland & Knight's Nashville office. Mr. Southard represents large provider organizations across the healthcare industry in a variety of matters.

Mr. Southard advises hospice, home health, durable medical equipment (DME), precision medicine, behavioral health, dermatology and other physician specialty groups, as well as private equity sponsors and their portfolio companies, management services organization (MSO) and dental support organization (DSO) platforms, digital health companies and other healthcare services intermediaries. These clients rely on Mr. Southard not only for legal analysis, but as a practical business partner invested in helping them structure key relationships, scale their operation and navigate an evolving regulatory landscape.

On the transactional side, Mr. Southard supports the regulatory components of healthcare mergers and acquisitions (M&A), financings, joint ventures and other complex transactions. He conducts buy-side and sell-side regulatory due diligence, supports representations and warranties insurance (RWI) underwriting, advises on structures that comply with corporate practice of medicine and fee-splitting restrictions, guides clients through state healthcare transaction review laws and supports post-closing integration and ongoing operations.

Mr. Southard also counsels healthcare organizations on day-to-day regulatory and operational matters, including fraud and abuse laws such as the Stark Law, the federal Anti-Kickback Statute and the False Claims Act; Medicare and Medicaid coverage, reimbursement and enrollment; Health Insurance Portability and Accountability Act (HIPAA) and other privacy laws; state licensure; telehealth and prescribing requirements; and emerging laws governing artificial intelligence (AI) in healthcare. In addition, he represents providers in payer audits and disputes, government investigations and administrative appeals, and regulatory advocacy initiatives.
